These are the terms under which LuminHive Ltd provides the LuminHive service. Please read them before using our website or product. Using LuminHive means you agree to these terms.
1Agreement
1.1 These terms are a binding agreement between you ("you", "your", "Customer") and LuminHive Ltd. If you are using the service on behalf of a business, you confirm you have authority to bind that business, and "you" means that business.
1.2 By visiting lumin-hive.com, creating an account, or using any part of the service, you accept these terms.
1.3 If you do not accept these terms, do not use the service.
2Who we are
2.1 LuminHive Ltd ("LuminHive", "we", "us", "our") is a company registered in England and Wales.
2.2 Registered address: 138 Queen Edith's Way, Cambridge, CB1 8NW, United Kingdom.

3The service
3.1 LuminHive provides a set of narrowly-scoped AI agents and related tools for small trades businesses, made available through our website and product ("Service").
3.2 The website at lumin-hive.com is for information and evaluation. These terms apply to it even if you do not create an account.
3.3 Specific product features, SLAs, and volume limits are set out in your subscription plan. The marketing site is descriptive, not a warranty.
3.4 We may modify, add or remove features over time. Where a change materially reduces functionality you have already paid for, we will notify you and offer a refund of the unused portion.
4Your account
4.1 You must provide accurate information when creating an account, and keep it up to date.
4.2 You are responsible for keeping your credentials confidential and for all activity under your account.
4.3 You must notify us promptly at security@lumin-hive.com if you suspect unauthorised access.
4.4 We may suspend or terminate accounts that breach these terms or put our systems or other users at risk.
5Acceptable use
You agree not to, and not to permit anyone else to:
5.1 Use the Service to break the law, infringe third-party rights, or act dishonestly.
5.2 Upload or transmit content that is unlawful, defamatory, harassing, obscene, infringing, or contains malware.
5.3 Scrape, crawl, or harvest data from the Service beyond what we provide through official APIs.
5.4 Reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law.
5.5 Use the Service to build a competing product or to train a competing AI model.
5.6 Interfere with or disrupt the Service, or attempt to gain unauthorised access to it.
5.7 Resell or sublicense the Service without our written permission.
5.8 Use the Service in a manner that violates applicable telecommunications laws, including laws on automated calling, robocalls, telemarketing, or call recording.
6Fees and payment
6.1 Published prices are set out at lumin-hive.com/#pricing and in your order. Prices may be quoted in US dollars, British pounds, or euros depending on the plan.
6.2 Fees are charged in advance on the first day of each billing period, unless your order says otherwise.
6.3 All fees are exclusive of applicable taxes (VAT, sales tax), which are added where required.
6.4 If payment fails, we may suspend the Service after notice. Repeated failure may result in termination.
6.5 We can change pricing with at least 30 days' notice. Changes take effect at the start of your next billing period.
7Free trials
7.1 We offer a 14-day free trial on stated plans. No credit card required.
7.2 During the trial, the Service is provided "as is" with no warranties and limited support.
7.3 If you do not subscribe by the end of the trial, your access ends and your data may be deleted 30 days after the trial.
8Your data and our processing
8.1 You retain all rights in the data you or your customers submit to the Service ("Customer Data").
8.2 You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Customer Data solely to provide the Service, to meet legal obligations, and to improve the Service in aggregate, de-identified form.
8.3 Our processing of personal data on your behalf is governed by our data processing agreement, available on request. Our collection and use of your personal data as controller is covered by our privacy policy.
8.4 You are responsible for ensuring you have the right to send us the Customer Data and for any consents required from your own customers.
9Intellectual property
9.1 LuminHive, the LuminHive hex mark, the wordmark, the website, the product, the documentation, and all related materials are owned by LuminHive Ltd or our licensors.
9.2 We grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for your internal business purposes during your subscription.
9.3 You may give us feedback. If you do, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback to improve the Service. Feedback is not confidential unless you clearly mark it so.
10AI outputs and human review
10.1 Some parts of the Service use artificial intelligence to generate text, voice responses, drafts, and other output ("AI Output"). AI Output is generated in response to your inputs and your data.
10.2 AI Output can be wrong. It may misstate facts, omit context, or produce content that is legally or commercially inappropriate for your use.
10.3 You are responsible for reviewing AI Output before you rely on it, send it to a customer, or act on it. You should not use AI Output for high-stakes decisions without human review.
10.4 We give you controls to review, approve, edit, and reject AI Output. Use them.
10.5 As between you and us, you own the AI Output generated for your account, to the extent permitted by the underlying AI providers' terms. We do not claim ownership over it.
11Third-party services
11.1 The Service integrates with third-party services (for example telephony providers, email providers, accounting software). Your use of those services is governed by their own terms.
11.2 We are not responsible for the availability, accuracy, or conduct of third-party services, though we choose them carefully.
12Warranties and disclaimers
12.1 We warrant that we will provide the Service with reasonable care and skill.
12.2 Except as expressly stated, the Service is provided "as is" and "as available". We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
12.3 We do not warrant that the Service will be uninterrupted, error-free, or that AI Output will be accurate, complete, or suitable for any specific purpose.
12.4 Nothing in these terms excludes or limits liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
13Limitation of liability
13.1 Subject to section 12.4, our liability is capped as set out in the callout above.
13.2 Neither party is liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of data, even if that loss was foreseeable.
13.3 These limitations apply whether the claim is in contract, tort (including negligence), breach of statutory duty, or otherwise.
14Indemnity
14.1 You will defend, indemnify, and hold LuminHive harmless from any third-party claim arising from (a) your misuse of the Service, (b) your breach of these terms, (c) your Customer Data, or (d) your breach of applicable law.
14.2 We will defend, indemnify, and hold you harmless from any third-party claim that the Service, used as permitted by these terms, infringes that party's intellectual property rights, subject to the liability cap in section 13.
15Term and termination
15.1 These terms start when you first use the Service and continue until terminated.
15.2 Either party may terminate for convenience at any time. If you terminate, the Service continues to the end of your current billing period unless we agree otherwise; we do not refund for early termination except in the case of material breach by us.
15.3 Either party may terminate immediately if the other commits a material breach that is not remedied within 14 days of written notice, or becomes insolvent.
15.4 On termination, your right to use the Service ends. We will make your Customer Data available for export for 30 days and delete it thereafter, unless law requires us to keep it longer.
15.5 Sections that by their nature survive termination (including sections 8.1, 9, 12, 13, 14, 17, 18) survive.
16Changes to these terms
16.1 We may update these terms. When we do, we change the "Last updated" date and, for material changes, give at least 30 days' notice by email or in-product notice before the change takes effect.
16.2 If you continue to use the Service after a material change takes effect, you accept the new terms. If you do not accept, you may terminate under section 15.
17Governing law
17.1 These terms are governed by the laws of England and Wales.
17.2 The courts of England and Wales have exclusive jurisdiction to hear disputes arising out of or in connection with these terms, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
17.3 If you are a consumer in the UK or EU, nothing in this section limits the statutory protections available to you under your local law.
17.4 If you are in the United States, you agree that these terms are governed by English law and that any statutory consumer-protection rights under state law that cannot be waived remain available to you despite this section.
